Term of Service

1. Introduction & Legal Agreement

Friendium (“Friendium,” “the Platform”) is a social networking service operated by Nexa-Group (“Nexa-Group,” “we,” “us,” or “our”). These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Nexa-Group governing your use of Friendium.

If you do not agree to these Terms, you must not access or use Friendium. Continued access or use constitutes acceptance of these Terms and all incorporated policies, including the Privacy Policy and Community Guidelines.

2. Eligibility & Account Creation

You may only use Friendium if you are legally capable of entering into a binding contract under applicable law. By creating an account, you represent and warrant that:

• You meet the minimum age requirements in your jurisdiction.
• The information you provide is accurate, current, and complete.
• You will maintain and promptly update your account information.
• You are not barred from using the service under applicable laws.

Nexa-Group reserves the right to refuse service, suspend, or terminate accounts that fail to meet eligibility requirements or provide false information.

3. Account Security & User Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to:

• Safeguard your password and authentication credentials.
• Immediately notify Friendium of unauthorized access or compromise.
• Accept responsibility for all actions taken through your account.

Nexa-Group is not liable for losses resulting from unauthorized access caused by your failure to secure your account.

4. Acceptable Use & User Conduct

You agree not to use Friendium for unlawful, harmful, or abusive purposes. Prohibited activities include, but are not limited to:

• Harassment, bullying, threats, or intimidation.
• Fraud, impersonation, or deceptive practices.
• Posting content that violates intellectual property rights.
• Distributing malware, spam, or malicious code.
• Attempting to disrupt platform integrity or security.

5. User Content & License Grant

You retain ownership of content you submit to Friendium. However, by posting content, you grant Nexa-Group a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, distribute, display, and perform such content for the purpose of operating, improving, and promoting Friendium.

This license ends when content is deleted, except where retention is required for legal, regulatory, or operational purposes.

6. Moderation, Enforcement & Platform Integrity

Nexa-Group reserves the right to moderate, restrict, remove, or disable access to content or accounts that violate these Terms or related policies. Enforcement actions may include:

• Content removal or visibility limitation.
• Temporary account suspension.
• Permanent termination of access.

7. Intellectual Property Rights

All Friendium branding, software, designs, and platform features are owned by or licensed to Nexa-Group and protected by intellectual property laws.

You may not copy, modify, distribute, or exploit any part of Friendium without explicit written authorization.

8. Paid Services & Optional Features

Friendium may offer optional paid features, subscriptions, or digital services. All payments are subject to applicable pricing, billing terms, and refund policies.

Nexa-Group reserves the right to modify or discontinue paid features at any time.

9. Third-Party Services

Friendium may include links to or integrations with third-party services. Nexa-Group does not control and is not responsible for third-party content, policies, or practices.

10. Disclaimers

Friendium is provided “as is” and “as available.” Nexa-Group makes no warranties regarding availability, reliability, or accuracy of the service.

11. Limitation of Liability

To the fullest extent permitted by law, Nexa-Group shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of Friendium.

12. Indemnification

You agree to indemnify and hold harmless Nexa-Group and its affiliates from claims arising from your use of Friendium, your content, or your violation of these Terms.

13. Termination

Nexa-Group may suspend or terminate your access to Friendium at any time for violations of these Terms or for legal or operational reasons.

14. Governing Law

These Terms are governed by applicable laws determined by Nexa-Group’s principal place of business, without regard to conflict-of-law rules.

15. Changes to These Terms

Nexa-Group may update these Terms periodically. Continued use of Friendium after changes take effect constitutes acceptance of the updated Terms.
