1. Legal Agreement & Acceptance

ReelCiety is operated by Nexa-Group, including its subsidiaries, affiliates, officers, directors, employees, contractors, licensors, and agents (“Nexa-Group,” “we,” “us,” or “our”). These Terms form a legally binding agreement between you (“User,” “you,” or “your”) and Nexa-Group.

By accessing or using ReelCiety in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and all incorporated policies, including but not limited to our Privacy Policy, Community Guidelines, Safety Policies, and Monetization Rules.

If you do not agree to these Terms, you must immediately discontinue use of the platform. Continued use constitutes ongoing acceptance of any updates or revisions.

2. Scope of Services

ReelCiety is a social networking and media-sharing platform that enables users to create, upload, publish, view, distribute, and interact with digital content, including text, images, video, audio, comments, reactions, and other media formats (“Content”).

Services may include, without limitation:

• User profiles, feeds, discovery, and recommendation systems
• Creator tools, analytics, and monetization features
• Messaging, commenting, and interaction tools
• Advertising, branded content, and sponsorship programs
• Experimental features, beta services, and future offerings

Nexa-Group reserves the right to modify, suspend, or discontinue any aspect of ReelCiety at any time without liability.

3. Eligibility & Age Requirements

You must meet the minimum age required by law in your jurisdiction to use ReelCiety. Where applicable, users under the age of majority may only use the platform with the consent of a parent or legal guardian.

You represent and warrant that all registration information is truthful and that you have the legal capacity to enter into this agreement. Nexa-Group may suspend or terminate accounts that fail to meet eligibility requirements.

4. Account Registration & Security

Certain features require account registration. You agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of login credentials
• Immediately notify us of unauthorized access or security breaches
• Accept responsibility for all activities under your account

Nexa-Group is not responsible for losses resulting from compromised accounts where you failed to maintain reasonable security practices.

5. User Conduct & Prohibited Activities

You agree not to engage in conduct that:

• Violates applicable laws or regulations
• Infringes intellectual property or privacy rights
• Harasses, threatens, abuses, or exploits others
• Distributes illegal, deceptive, or harmful content
• Attempts to bypass security, moderation, or access controls
• Uses automation or scraping without authorization

Detailed behavioral rules are defined in separate policies incorporated into these Terms by reference.

6. Content Ownership & License Grant

You retain ownership of Content you submit. However, by uploading or posting Content on ReelCiety, you grant Nexa-Group a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, distribute, display, perform, and analyze such Content for the operation, improvement, and promotion of the platform.

This license persists until the Content is removed or your account is terminated, except where retention is required for legal, compliance, security, or dispute resolution purposes.

7. Moderation, Enforcement & Platform Integrity

Nexa-Group reserves the right, but not the obligation, to monitor, review, moderate, restrict, or remove Content and accounts at its sole discretion.

Enforcement actions may include content removal, reduced visibility, account suspension, termination, or referral to law enforcement where required.

8. Intellectual Property Rights

All ReelCiety software, code, algorithms, trademarks, logos, branding, designs, and proprietary systems are owned by or licensed to Nexa-Group and protected by intellectual property laws.

You may not copy, modify, distribute, reverse engineer, or exploit any part of the platform without prior written authorization.

9. Advertising, Monetization & Virtual Items

ReelCiety may offer advertising services, paid features, subscriptions, or virtual items. Participation is subject to additional monetization terms, pricing rules, and payment policies.

Nexa-Group may modify or discontinue monetization features at any time without liability.

10. Third-Party Services & Links

ReelCiety may integrate or link to third-party services. Nexa-Group is not responsible for third-party content, practices, or policies. Your use of such services is at your own risk.

11. Suspension & Termination

Nexa-Group may suspend or terminate access at any time for violations, legal requirements, security risks, inactivity, or business reasons.

Termination does not affect rights or obligations that by nature should survive, including intellectual property, disclaimers, and limitation of liability.

12. Disclaimers

ReelCiety is provided on an “as is” and “as available” basis. Nexa-Group disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, Nexa-Group shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from your use of ReelCiety.

14. Indemnification

You agree to indemnify and hold harmless Nexa-Group from any claims, damages, liabilities, losses, and expenses arising from your use of the platform, Content, or violation of these Terms.

15. Governing Law & Jurisdiction

These Terms are governed by the laws applicable to Nexa-Group’s jurisdiction of incorporation, without regard to conflict-of-law principles.

16. Changes to Terms

Nexa-Group may update these Terms at any time. Continued use of ReelCiety after changes become effective constitutes acceptance.
